1. Agreement and authority
These Terms of Use (the Terms) are an agreement between you and Stamped Technologies LLC, a Florida limited liability company that operates the Stamped service (collectively, Stamped,we, or us). By selecting the acceptance checkbox and continuing, you agree to these Terms and acknowledge the Privacy Notice. If you use Stamped for an organization, company, or institution (your Institution), you also agree to follow its policies and instructions.
If you accept for an Institution, configure tenant-wide settings, invite users, or authorize integrations, you represent that you have authority to do so. These Terms do not name, endorse, or create a public affiliation with any customer. A separately signed agreement between Stamped and an Institution controls for its subject matter and takes precedence over any conflicting provision of these Terms.
Separately signed commercial agreements
Where Stamped Technologies LLC and an Institution enter into a signed commercial agreement, including a Founding Customer & Referral Partner Agreement, that agreement and its applicable exhibits, signed order forms, and signed amendments govern the covered deployment. Its provisions on implementation, evaluation and acceptance, fees, payment, subscription commitments, renewal, termination, support, warranties, liability, ownership, customer data, confidentiality, customer references, and referrals remain binding on the applicable parties according to that agreement. General provisions in these Terms on complimentary access, service changes, suspension, termination, disclaimers, or liability do not override those agreed rights or obligations.
These Terms supplement a signed agreement only to the extent consistent with it and permitted by its terms; they do not replace it, incorporate additional terms into it without the required agreement, or amend or waive it. Posting updated website terms or an individual user accepting these Terms does not amend a signed agreement. Amendments, notices, acceptance of the commercial deployment, and termination must follow that agreement. Account closure or discontinued use alone does not cancel a subscription commitment or discharge payment obligations under it. Referral rights and compensation arise only under the applicable signed agreement, not from an account, tenant role, introduction, or acceptance of these Terms.
This clarification applies only to the parties and deployment covered by the signed agreement. It does not impose another customer's pricing, subscription term, acceptance criteria, referral arrangement, or other commercial obligations on users of educational or complimentary deployments, or any other Institution or user outside that agreement. Ordinary user acceptance does not itself make a user a party to a commercial agreement or personally liable for an Institution's subscription fees. Existing complimentary-access arrangements and user obligations otherwise remain unchanged.
2. Service purpose and permitted use
Stamped is a multi-tenant administrative service for workflows such as approvals, purchasing, budgeting, invoicing, scheduling, and related recordkeeping. Enabled modules vary by Institution. You may use Stamped only for authorized institutional purposes and only within the role and permissions assigned to you. You must not attempt to access another tenant, another user's restricted records, or information you do not need for your assigned responsibilities.
You must not misuse the service, interfere with its security or availability, upload unlawful or malicious material, misrepresent approvals, share credentials, scrape data, or use records for personal, commercial, discriminatory, or unrelated purposes. Microsoft sign-in does not itself establish authorization to view any particular institutional record.
3. Confidentiality
Nonpublic institutional records—including operational, personnel, student-linked, financial, and scheduling records, as well as credentials, approval communications, attachments, and security information—are confidential. You may access, use, and disclose them only as needed for an authorized Stamped workflow and as permitted by your Institution. You must use reasonable safeguards, sign out of shared devices, promptly report suspected unauthorized access, and comply with role changes or access revocation.
Stamped will use nonpublic Institution data to operate, secure, support, and improve the service; comply with law; and carry out documented Institution instructions. Stamped does not claim ownership of Institution content and will not sell it or use it for behavioral advertising.
4. Education records (where applicable)
Stamped is not a student-information or academic-records system. These Terms do not certify FERPA, GDPR, or any other privacy-law compliance, and they do not designate Stamped as a school official, processor, or similar role. That determination belongs to the Institution, in a separate written arrangement if the Institution requires one.
If an Institution is a U.S. educational agency or institution covered by the Family Educational Rights and Privacy Act (FERPA), a record in Stamped may be an “education record” when it is directly related to an identifiable student and is maintained by or for that Institution. The Institution—not Stamped—decides which records are covered, the lawful basis for any disclosure, who has a legitimate educational interest, and how requests to inspect or amend records are handled.
If the Institution has separately designated Stamped as a service provider for a FERPA-covered function, the Institution retains direct control over the use and maintenance of those records. Stamped will use them only for that authorized function and will not redisclose them except to providers performing that function, as directed by the Institution, with valid consent, or as permitted or required by law. Administrators are responsible for configuring access to match the Institution's policies.
These Terms do not replace any data-processing, security, or school-official agreement an Institution may require. Users should not enter grades, Social Security numbers, medical information, payment-card or bank credentials, or other sensitive information unless an authorized workflow expressly requires it.
5. Accounts and Microsoft sign-in
When Microsoft sign-in is used, Microsoft hosts the sign-in experience and authenticates your Microsoft account. Stamped does not receive or store your Microsoft password. Microsoft sends Stamped limited identity claims needed to establish your account—currently your name, email address, and Microsoft directory object identifier—and issues authentication tokens used to complete sign-in. Microsoft's services are governed by Microsoft's own terms and privacy practices.
Stamped then creates its own application session and authorization record on Stamped's infrastructure. You are responsible for protecting your account, promptly reporting suspected compromise, and keeping your Institution account information current.
6. Application records, hosting, and service providers
Stamped's primary application records are stored in infrastructure selected and administered by the Stamped operator, rather than in your Institution's Microsoft tenant. Those records include the categories listed in the Privacy Notice. Data may also be transmitted to infrastructure, email, authentication, and AI providers when needed to deliver enabled features. Those providers process data for their limited service functions; they do not become owners of Institution content.
Institution administrators are responsible for deciding which integrations and optional features are appropriate, obtaining any required approvals, and ensuring that submitted content is authorized for processing.
7. Retention and deletion
Stamped is designed as a long-term administrative record. There is currently no end-user self-service feature for deleting an account or all data associated with it. Closing an account, leaving an Institution, losing access, or ending use of the service does not by itself delete existing records. Authorized workflow roles may still correct, remove, void, or replace individual operational records where the service provides those controls.
Records may be retained for the longest period reasonably needed and permitted for institutional recordkeeping, audit, financial, security, dispute, backup, and legal purposes, subject to the home Institution's applicable retention directions and policies. Stamped may preserve records after account termination and may retain an immutable record of agreement acceptance. If applicable law, a binding Institution instruction, or a controlling agreement requires deletion or de-identification, that requirement controls. Direct record requests to your Institution; do not assume that deleting a local copy or account removes an official institutional record.
8. Complimentary or evaluation access
Where Stamped provides access without a paid subscription—including complimentary, evaluation, or similarly uncompensated access—that access is discretionary. It is not a public partnership, endorsement, or sponsorship of any Institution, and it creates no entitlement to continued service, support, specific features, service levels, or data availability beyond what applicable law or a separately signed agreement requires.
To the fullest extent permitted by law and any controlling written agreement, Stamped may restrict, suspend, modify, or end complimentary or evaluation access, an account, a feature, or the service. Where reasonably practicable, Stamped will notify the Institution's administrator before ending complimentary access. Institutions should keep any independent records or exports their policies and continuity plans require. A signed agreement with an Institution, if one exists, controls over this section.
9. Suspension and termination
Stamped or an Institution administrator may suspend or terminate access for security concerns, inactivity, policy violations, unauthorized use, legal risk, changes in role or affiliation, or any other lawful reason. Upon termination, your right to use the service ends immediately. Confidentiality, record restrictions, retention, intellectual-property, warranty, liability, and other provisions that logically survive termination remain in effect.
10. Service changes and feedback
Stamped may add, remove, or change functionality. If you provide suggestions or feedback, you permit Stamped to use them without restriction or compensation, but Stamped will not identify you publicly without permission.
11. Disclaimers
To the fullest extent permitted by law, Stamped is provided “as is” and “as available.” Stamped disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, title, noninfringement, uninterrupted availability, accuracy, security, and compliance with any Institution-specific requirement. Stamped does not provide legal, accounting, procurement, tax, or financial advice. Users and Institutions remain responsible for reviewing requests, approvals, budgets, exports, and AI-generated output.
12. Limitation of liability
To the fullest extent permitted by law, Stamped and its operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of data, revenue, opportunity, reputation, or use; or decisions made from service output. Stamped's total aggregate liability arising from the service will not exceed the fees paid for the affected service during the twelve months before the event giving rise to the claim, or one hundred U.S. dollars if no fees were paid. These limits apply regardless of the theory of liability and even if a remedy fails of its essential purpose, except where a limit is prohibited by law.
13. Your responsibility
You are responsible for content you submit, instructions you give, permissions you assign, and actions taken through your account. To the extent permitted by law, you will reimburse Stamped for third-party claims, losses, and reasonable costs caused by your unlawful content, intentional misuse, material violation of these Terms, or infringement of another person's rights. This obligation applies to you in your individual capacity. It does not bind your Institution unless a person with authority to bind that Institution has entered a separate written agreement. This obligation does not apply to the extent a claim was caused by Stamped's own unlawful conduct.
14. Changes and general terms
Stamped may update these Terms. A material update may require a new recorded acceptance before further use. If one provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not transfer your account or these Terms without permission. Headings are for convenience only.
Stamped Technologies LLC was formed in Florida on September 14, 2026, under document number L26000480787. On September 18, 2026, these public legal pages were updated only to identify the legal service operator and its public company address. The Terms and Privacy Notice remain version 2026-09-06 for acceptance purposes; this administrative clarification does not change existing users' substantive obligations or require renewed acceptance.
